Threebrook Seek End User License Agreement (DRAFT – pending legal review)

By installing, copying or using the Software you agree to this Agreement. If you do not agree, do not install or use it. 1. License 1.1 We grant you a non-exclusive, non-transferable license to install and use the Software on computers you personally use. The features of the Personal and Pro editions are as described on the Software's About page. 1.2 A 14-day Pro trial starts the first time you run the Software. After the trial, without a Pro activation code the Software keeps running as the Personal edition; your existing index is not affected. 1.3 Activation codes are for the purchaser only and must not be published, resold or shared. We may disable codes that have been publicly distributed in later versions. 2. Restrictions You must not: (a) reverse engineer, decompile or disassemble the Software except as permitted by law; (b) crack or bypass license verification; (c) rent, lend or resell the Software or activation codes; (d) use the Software unlawfully or to infringe others' rights, including privacy, portrait and copyright. 3. Third-party components and models The Software includes third-party open-source components and AI models provided under their own licenses; see THIRD-PARTY-NOTICES.txt in the installation folder. In particular: 3.1 EmbeddingGemma 2 is released by Google under Apache 2.0. By using the Software you agree not to use it for any purpose listed in the Gemma Prohibited Use Policy (https://ai.google.dev/gemma/prohibited_use_policy). 3.2 The SenseVoiceSmall speech model is provided under the FunASR model license; copyright belongs to its authors. 3.3 FFmpeg is included as separate programs under the LGPL; you can obtain the corresponding source code as described in THIRD-PARTY-NOTICES.txt. 4. Privacy The Personal edition contains no networking features. Your photos, videos, recordings, documents and their index are processed and stored only on your computer. See the Privacy Policy. 5. Updates The Software never goes online to check for or download updates. The "Check for updates" button on the About page opens our download page in your browser; you decide whether to download a new version. 6. Disclaimer and limitation of liability 6.1 The Software is provided "as is". Natural-language search, text recognition, transcription, face grouping, place names and meeting alignment are based on machine learning and may be inaccurate; verify important information yourself. 6.2 The Software does not modify, move or delete your original files; actions such as "Move to Recycle Bin" run only after your explicit confirmation. Keep your own backups of important data. 6.3 To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential damages arising from use of or inability to use the Software; our total liability is limited to the amount you actually paid for the Software. 7. Termination This license terminates automatically if you breach this Agreement; you must then stop using and delete the Software. Sections 3, 6, 8 and 9 survive termination. 8. Governing law This Agreement is governed by the laws of the People's Republic of China (excluding its conflict-of-law rules). Disputes shall first be resolved through friendly negotiation; failing that, they shall be submitted to the competent people's court where the publisher is located. 9. Refunds Within 14 days of purchasing Pro, if the Software cannot be used properly because of a problem with the Software and we are unable to fix it, you may contact us with your order number for a full refund; the corresponding activation code will then be disabled. Please make full use of the trial first; refunds requested for personal reasons (for example, no longer needed) follow the terms on the purchase page.
